MEDCONNECT – TERMS & CONDITIONS
These Terms & Conditions (“Terms”) govern your access to and use of the MedConnect mobile application and related website/platform (collectively, the “Platform”) and form a legally binding agreement between you and MedConnect Georgia 2025 LLC (Georgian: შპს „მედქონექთ ჯორჯია 2025“), Identification Number: 430049501 (“MedConnect”, “we”, “us”, “our”).
By using the Platform, you agree to these Terms and our Privacy Policy.
1. Acceptance of Terms
1.1. By accessing or using MedConnect, you confirm that you have read, understood, and agree to these Terms.
1.2. Age Requirement (18+ Only): You must be at least 18 years old to use MedConnect. MedConnect currently does not permit registration, booking, or use on behalf of persons under 18. If you are under 18, you must not use the Platform.
2. Changes to Terms
2.1. We reserve the right to update or modify these Terms at any time without prior notice.
2.2. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. Please review these Terms periodically.
3. Use of the Platform
3.1. You agree to use the Platform only for lawful purposes.
3.2. You must not:
Attempt to disrupt or interfere with the Platform’s functionality, availability, or security
Attempt unauthorized access to any systems, accounts, data, or networks
Use the Platform to commit fraud, misrepresentation, or unlawful activity
Reverse engineer, decompile, disassemble, or attempt to derive source code
Use automated tools (bots/scrapers) to collect data or interact with the Platform without permission
Upload malware, viruses, or harmful code
3.3. We may suspend or restrict access if we believe your use violates these Terms or applicable law.
4. Account Registration and Security
4.1. To access certain features, you may need to create an account.
4.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
4.3. Notify us immediately if you suspect unauthorized access or use of your account.
4.4. You agree to provide accurate, complete, and up-to-date information. We may suspend or terminate accounts that provide false, inaccurate, outdated, or incomplete information.
5. Intellectual Property
5.1. All content on the Platform, including text, graphics, logos, interfaces, and software, is the property of MedConnect or its licensors and is protected by intellectual property laws.
5.2. You may not reproduce, distribute, modify, or create derivative works from any Platform content without MedConnect’s prior written consent.
6. Role of MedConnect (Platform Disclaimer)
6.1. MedConnect is a technology platform that enables users to search, book, and manage healthcare services provided by independent nurses and clinics.
6.2. MedConnect does not provide medical services and does not act as a healthcare provider. All medical or nursing services are provided solely by the selected nurse or clinic (“Service Provider”).
6.3. MedConnect does not guarantee any specific medical outcome, diagnosis, treatment quality, or availability of any Service Provider.
7. Emergency Disclaimer (Important)
7.1. MedConnect is not intended for emergencies and does not replace emergency medical services.
7.2. If you believe you or someone else needs urgent or emergency assistance, you must immediately contact emergency services (e.g., 112) or go to the nearest hospital.
8. Bookings and Service Provider Relationship
8.1. All appointments are booked through the Platform, including:
Online consultations (with online payment through the app)
In-clinic visits (booked in the app; payment is typically made at the clinic, unless otherwise agreed)
8.2. Any search results, listings, availability, ratings, or other information displayed on the Platform must not be considered a medical recommendation by MedConnect.
8.3. Your decision to book a Service Provider is made at your own discretion and risk.
9. Pricing, Fees, and Payment Processing
9.1 General
9.1.1. Prices for medical/nursing services are determined by the Service Provider.
9.1.2. Where payments are processed through the Platform, MedConnect acts as a payment facilitator and agent on behalf of the Service Provider and may retain a platform fee/commission as described below.
9.2 Nursing Services (Commission Deducted from Nurse)
9.2.1. For nursing services paid through the app, the patient pays the service price displayed on the Platform.
9.2.2. MedConnect charges a 12% platform commission, which is deducted from the Nurse’s service fee.
Example:
Patient pays: 100 GEL
MedConnect commission (12%): 12 GEL
Transferred to Nurse: 88 GEL
9.3 Clinic Services – Two Booking Types
(a) Online Consultation (Online Booking & Online Payment)
9.3.1. For online consultations booked and paid through the Platform:
The clinic sets the base service price
MedConnect applies a 9% platform fee added on top of the clinic’s base price
The patient pays the total amount (base price + platform fee)
Example:
Clinic base price: 100 GEL
MedConnect platform fee (9%): 9 GEL
Total paid by patient: 109 GEL
9.3.2. The clinic receives the base service price. The 9% platform fee constitutes MedConnect’s revenue.
(b) In-Clinic Visit (Online Booking & Offline Payment)
9.3.3. For in-clinic visits booked through the Platform where payment is made directly at the clinic:
MedConnect functions solely as a booking and scheduling system
No payment is processed through the Platform for that visit
No platform fee is charged to the patient through the app for that visit
9.3.4. Any commercial compensation related to these bookings (if any) is governed by a separate written agreement between MedConnect and the clinic.
10. Cancellations, No-Shows, and Refund Policy
10.1. Cancellations (Online Paid Appointments):
Unless a specific Service Provider states otherwise, the following applies to online consultations paid through the Platform:
Cancellation more than 24 hours before the scheduled time: the patient may request a refund of the amount paid, subject to payment processing constraints.
Cancellation within 24 hours of the scheduled time: the payment is generally non-refundable.
If the Service Provider fails to deliver the service for reasons attributable to the Service Provider, the patient may request a refund.
10.2. No-Show (Online Paid Appointments):
If you do not attend an online consultation at the scheduled time without cancelling in advance, it may be treated as a no-show and the payment may be non-refundable.
10.3. In-Clinic Visits (Offline Payments):
For in-clinic visits where payment is made at the clinic, refund policy is handled by the clinic. MedConnect is not responsible for refunds for payments not made through the Platform.
10.4. Account Restrictions for Repeated Abuse:
We may restrict, temporarily suspend, or terminate accounts that repeatedly abuse cancellations, no-shows, fraud, or other conduct harmful to Service Providers or other users.
11. Reviews, Ratings, and User Content
11.1. You may be able to submit reviews, ratings, comments, or feedback (“User Content”).
11.2. You are solely responsible for your User Content. You agree not to post content that is unlawful, defamatory, hateful, discriminatory, harassing, misleading, or that violates others’ privacy or intellectual property rights.
11.3. MedConnect may, at its sole discretion, remove, refuse to publish, or moderate User Content at any time.
12. Third-Party Services and Links
12.1. The Platform may integrate or link to third-party services (e.g., payment processors, communication tools, maps). MedConnect does not control and is not responsible for third-party services.
12.2. Your use of third-party services may be subject to their own terms and policies.
13. Disclaimer of Warranties (“As-Is”)
13.1. The Platform and any content or features are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied.
13.2. MedConnect does not warrant that the Platform will be uninterrupted, error-free, secure, or free from harmful components.
14. Limitation of Liability
14.1. To the maximum extent permitted by law, MedConnect will not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, data, goodwill, or business interruption.
14.2. MedConnect is not liable for:
Medical services, advice, diagnosis, treatment, or outcomes
Acts/omissions of nurses, clinics, doctors, or their staff
Service Provider availability, cancellations, or quality
Disputes between users and Service Providers
14.3. Where liability cannot be excluded by law, MedConnect’s liability is limited to the maximum extent permitted.
15. Taxes
15.1. Each Service Provider (nurse/clinic) is responsible for all applicable taxes related to the medical services they provide.
15.2. MedConnect is responsible only for taxes related to its platform fees/commissions.
16. Termination
16.1. We reserve the right to suspend or terminate your access to the Platform at our sole discretion, without prior notice, for conduct that we believe violates these Terms, is unlawful, fraudulent, or harmful to others.
16.2. Termination may result in loss of access to your account and certain Platform features, subject to legal and data retention obligations.
17. Data and Privacy
17.1. Your use of the Platform is also governed by our Privacy Policy.
17.2. We may retain certain data as required by law, for fraud prevention, dispute resolution, compliance, and operational security, in accordance with the Privacy Policy and applicable Georgian law.
18. Severability
If any provision of these Terms is found invalid or unenforceable by a court, that provision will be severed, and the remaining provisions will remain in full force and effect.
19. Waiver
No failure or delay by MedConnect in enforcing any right or provision of these Terms will constitute a waiver of such right or provision.
20. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of Georgia, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms shall be resolved by the competent courts of Georgia.
